End-User License Agreement

This End-User License Agreement (the "Agreement") is between you and Nick von Kaenel, the individual operating under the name nvk.tools ("nvk.tools," "we," "us," or "our"). It governs your installation and use of the nvk.tools software, scripts, themes, updates, and accompanying documentation covered by your order or trial (collectively, the "Software").

Please read this Agreement before using the Software. By affirmatively accepting this Agreement, or by installing, activating, accessing, or using the Software after being given notice of this Agreement, you agree to its terms. If you do not agree, do not install, activate, access, or use the Software.

If you accept this Agreement for a company or another organization, you represent that you have authority to bind it. In that case, "you" includes that organization and its Authorized Users.

1. Orders and transaction providers​

Your receipt, invoice, product page as presented when you place your order, or other ordering document (an "Order") identifies the Software and license quantity you acquired. Product-specific terms stated in an Order control over conflicting terms in this Agreement only with respect to that Order. A later change to a product page does not change a completed Order.

When you purchase through Gumroad, Gumroad acts as the merchant of record. Gumroad's terms govern payment processing, taxes, and the purchase transaction. This Agreement is between you and nvk.tools and governs the license and use of the Software. Refunds are handled under the policy presented at checkout, subject to rights that cannot be waived under applicable law.

2. License grant​

Subject to this Agreement and any applicable Order, nvk.tools grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software as follows:

  • Individual license. One named individual (the "Authorized User") may install and use the Software on computers personally controlled and used by that individual, including computers provided to that individual by an employer or client.
  • Multi-user license. The number of Authorized Users may not exceed the license quantity shown in the Order. Each seat is assigned to one named individual at a time. An Authorized User may be your employee or an individual contractor using the Software solely for your benefit. You may reassign a seat when an Authorized User no longer needs ongoing access, but not merely to share a seat concurrently or routinely rotate it between users. You are responsible for ensuring that your Authorized Users comply with this Agreement.
  • Shared computers. The Software may be installed on a computer shared by more than one person if every person who uses the Software is an Authorized User and the number of Authorized Users does not exceed the purchased license quantity. Installation on a shared computer does not create an additional seat or permit use by an unlicensed person.
  • Permitted work and output. An Authorized User may use the Software to create work for personal or commercial purposes, including work for clients or employers. As between you and nvk.tools, you retain all rights you may have in the audio, projects, and other content you create using the Software. nvk.tools does not claim ownership of that content, and this Agreement does not impose a royalty, attribution requirement, or restriction on your distribution or monetization of that content.
  • Copies. You may make the copies reasonably necessary for permitted installation, internal deployment to Authorized Users, use, and backup. Every copy remains subject to this Agreement.

Each purchased seat may be activated on up to three computers used by its assigned Authorized User. Multiple activations do not permit different people to share one seat. These technical activation limits do not reduce the number of users granted by your Order or prohibit an Authorized User from moving to a legitimate replacement computer. If a device change, replacement, or reassignment causes an activation problem, contact support@nvk.tools.

Unless an Order expressly states otherwise, a paid license is perpetual for the version of the Software acquired and any updates that nvk.tools chooses to make available under the same license. You may retain backup copies of versions lawfully provided to you. A perpetual license does not include a promise of future updates, features, support, compatibility, or continued hosting of downloads, so you are responsible for retaining any permitted backup copies you may need.

3. Trials​

If the Software is provided as a trial, nvk.tools grants one Authorized User a limited license to evaluate it for 14 days. You may not reset, extend, or circumvent the trial period. At the end of the trial, you must purchase the required license or stop using and delete the trial Software.

4. Restrictions​

Except as expressly permitted by this Agreement or applicable law, you may not:

  • share a license key or allow anyone other than an Authorized User to use the Software;
  • distribute, publish, sell, resell, rent, lease, sublicense, transfer, or make the Software available to another person;
  • copy the Software except as permitted by Section 2;
  • remove or alter copyright, trademark, attribution, or other proprietary notices;
  • bypass, disable, tamper with, or defeat license verification, activation limits, or other technical protections;
  • reverse engineer, decompile, or disassemble the Software, except to the extent such a restriction is prohibited by applicable law;
  • incorporate, bundle, or redistribute the Software or any material portion of it as part of another product or service; or
  • use the Software in violation of applicable law.

These restrictions do not prohibit normal use of the Software with REAPER, ReaPack, extensions, plug-ins, or other compatible tools, or use of resulting output in your own personal or commercial work.

You and your Authorized Users may modify source-readable portions of the Software solely for your permitted internal use. Modified Software is unsupported, may be shared only among your Authorized Users for that internal use, and may not be distributed outside your organization or used to bypass licensing. nvk.tools retains all rights in the pre-existing Software; you retain any rights you may have in your original additions.

5. License keys and activation​

License keys are confidential credentials and must be protected using reasonable safeguards. You are responsible for use of a key that you authorize or knowingly permit and for promptly notifying nvk.tools if you reasonably believe a key has been compromised.

Activation may require the Software to send nvk.tools and its licensing provider the product name, license key, an installation identifier derived from the computer, and related validation information. Offline activation may require you to transfer that information through a web page. Our collection and use of this information is described in the Privacy Notice.

nvk.tools may suspend a license key when we reasonably believe it has been shared, resold, used beyond the purchased quantity, obtained fraudulently, refunded, charged back, or used in material breach of this Agreement. When reasonably practical, we will notify you of the reason and provide an opportunity to resolve a mistaken or curable suspension before acting. We may act immediately when reasonably necessary to prevent fraud, intentional unauthorized distribution, circumvention of technical protections, or material harm to the Software or licensing service. We will restore access within a reasonable time after a mistaken suspension or curable issue is resolved.

6. Updates, compatibility, and support​

nvk.tools may provide updates, corrections, or new versions, but is not obligated to do so unless an Order expressly says otherwise. Updates provided under the same license are part of the Software and are governed by this Agreement unless accompanied by different terms.

System requirements and compatibility information are described in the documentation available when the applicable version is released. Third-party changes, including changes to REAPER, operating systems, extensions, and plug-ins, may affect compatibility.

nvk.tools may provide support through email, Discord, documentation, or other channels. Unless an Order expressly states otherwise, support is provided on a reasonable-efforts basis without a guaranteed response time and may be changed or discontinued.

7. Ownership​

The Software is licensed, not sold. nvk.tools and its licensors retain all right, title, and interest in the Software, including all copyright and other intellectual property rights not expressly granted in this Agreement.

nvk.tools represents that it owns or otherwise has sufficient rights in the Software to grant the license in Section 2. If nvk.tools breaches this representation, nvk.tools' sole obligation and your exclusive remedy will be, at our option, to modify or replace the affected Software so that you may continue permitted use, or refund the amount you paid for the affected Software. This representation does not apply to separate third-party products, modifications not made by nvk.tools, or combinations with items not provided or approved by nvk.tools. Any refund is subject to and counts toward the liability cap in Section 10.

If you voluntarily provide suggestions or feedback specifically about the Software, you grant nvk.tools a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation. This license does not apply to your confidential information or transfer ownership of your projects, audio, or other content created with the Software.

8. Third-party components and trademarks​

The Software may interoperate with or include components governed by separate third-party terms. Those terms control only the applicable third-party components. nvk.tools will make legally required third-party notices available with the Software or its documentation. Nothing in this Agreement grants you rights to separate third-party products.

GRM Tools is a trademark of INA-GRM. Sound Particles is a trademark of Sound Particles, Lda. All other trademarks belong to their respective owners. References to third-party products do not imply sponsorship, affiliation, or endorsement.

9. Disclaimer of warranties​

EXCEPT FOR THE EXPRESS REPRESENTATION IN SECTION 7 AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE AND SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE." NVK.TOOLS DISCLAIMS ALL OTHER EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NVK.TOOLS DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR COMPATIBLE WITH EVERY SYSTEM OR THIRD-PARTY PRODUCT.

Some jurisdictions do not allow certain warranty exclusions, so some or all of this disclaimer may not apply to you.

10. Limitation of liability​

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NVK.TOOLS WILL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NVK.TOOLS' TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE GIVING RISE TO THE CLAIM. IF MORE THAN ONE ITEM OF SOFTWARE GIVES RISE TO THE SAME CLAIM, THE CAP IS THE TOTAL AMOUNT YOU ACTUALLY PAID FOR THOSE ITEMS. ANY REFUND OR CREDIT PROVIDED FOR THE SAME MATTER COUNTS TOWARD AND REDUCES THIS CAP.

These exclusions and limits apply to the total of all claims, not separately to each claim, regardless of the legal theory asserted and even if a limited remedy fails of its essential purpose. They do not exclude or limit liability to the extent that applicable law does not permit it to be excluded or limited. Nothing in this Agreement creates liability that would not otherwise exist under applicable law.

11. Mandatory consumer rights​

Nothing in this Agreement excludes, restricts, or modifies any consumer guarantee, warranty, right, or remedy that cannot lawfully be excluded, restricted, or modified. If applicable law gives you rights that conflict with this Agreement, those mandatory rights control to the extent of the conflict.

12. Termination​

You may terminate this Agreement at any time by stopping all use of the Software and deleting all copies under your control.

nvk.tools may terminate this Agreement for a material breach that you do not cure within 30 days after notice. If the breach cannot reasonably be cured within 30 days, the cure period will continue for a reasonable additional time if you begin curing it within the initial period and diligently continue. We may terminate or suspend immediately for intentional unauthorized distribution, intentional license-key sharing, circumvention of technical protections, fraud, unlawful use, or when a purchase is refunded or charged back.

Upon termination, your license ends and you must stop using and delete the Software. Termination does not affect ownership of output you lawfully created before termination. Sections that by their nature should survive—including Sections 4, 7, 9, 10, 11, 13, and 14—will survive.

13. Governing law and disputes​

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to mandatory consumer law, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over disputes arising from or related to this Agreement, and each party consents to their jurisdiction.

If you are a consumer, this section does not deprive you of protections or dispute-resolution rights that cannot be waived under the laws of your place of residence.

14. General terms​

You may not assign or transfer this Agreement or a license without nvk.tools' prior written consent, except that an organization may assign it as part of a merger, reorganization, change of control, or sale of substantially all assets relating to the business using the Software if the successor agrees in writing to this Agreement. nvk.tools may assign this Agreement as part of a merger, reorganization, sale of the Software business, or transfer to an affiliate or successor.

If any provision is held unenforceable, it will be enforced to the greatest extent permitted and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. Headings are for convenience only.

This Agreement, together with the applicable Order and any product-specific terms, is the entire agreement between you and nvk.tools concerning the Software. It supersedes prior discussions and agreements concerning the same subject. Gumroad's terms and other transaction-provider terms continue to govern their respective services and transactions.

nvk.tools may update this Agreement prospectively. Material changes will not reduce the scope of an existing perpetual license unless you affirmatively agree, except when a change is reasonably necessary to comply with law, address fraud or security risks, or govern an optional new feature or service. The effective date above identifies the current version.
